1. Interpretation
1.1 Definitions
In these Terms and Conditions (“Terms”), the following definitions apply:
- Express Translator: means Express Translator, which is a business registered in Australia, trading as “Express Translator”, based in Melbourne, Victoria, Australia.
- Business Day: means any day other than Saturday, Sunday, or a public holiday in the State of Victoria, between 9am and 6pm (AEST).
- Client: means the individual, company, or organisation that purchases Services from Express Translator.
- Contract: means the legally binding agreement formed when Express Translator accepts an Order placed by the Client.
- Order: means a request or confirmation by the Client to purchase translation or related services from Express Translator.
- Services: means translation, certification, transcription, localisation, proofreading, or any other related services provided by Express Translator.
- Deliverables: means all translated documents, products, and materials produced by Express Translator (or its subcontractors) for the Client.
- Charges: means the fees payable by the Client for the Services.
- Client Materials: means all documents, information, and materials provided by the Client to Express Translator for the purpose of the Services.
- Subcontractor: means any translator, proofreader, or service provider engaged by Express Translator to perform part or all of the Services.
- Website: means https://expresstranslator.com.au or any related domain owned and operated by Express Translator.
- Force Majeure: means any event beyond the reasonable control of the affected party, including but not limited to natural disasters, strikes, wars, government restrictions, or system failures.
1.2 Headings do not affect interpretation.
1.3 References to “writing” include email and electronic communication.
2. Application
2.1 These Terms:
(a) apply to and are incorporated into every Contract between Express Translator and the Client; and
(b) override any conflicting terms provided by the Client unless otherwise agreed in writing.
2.2 By placing an Order, the Client agrees to be bound by these Terms and confirms that they are at least 18 years of age.
2.3 A Contract is formed when Express Translator issues a written acceptance or commences work on the Order.
2.4 Quotations are valid for 7 days unless stated otherwise. Express Translator reserves the right to amend quotations if the Client’s description of materials or requirements is inaccurate.
2.5 All Services displayed on the Website are subject to availability and may be updated or withdrawn at any time.
2.6 Express Translator may amend these Terms from time to time by updating this page. The latest version will apply to all new Orders.
2.7 Express Translator may sub-contract translation work to NAATI certified translators across Australia. In such cases, the Client’s documents may be shared with the subcontractor to request a quote and turnaround time.
3. Commencement and Duration
3.1 Services commence on the date Express Translator accepts the Client’s Order, and Client pays for the services.
3.2 Services will continue until completed or terminated in accordance with these Terms.
4. Express Translator’s Obligations
4.1 Express Translator will use reasonable skill and care to provide accurate and professional translation and certification services.
4.2 Express Translator will make reasonable efforts to meet agreed deadlines, but timeframes are estimates only.
4.3 Express Translator is not liable for any loss, corruption, or interception of documents transmitted electronically.
4.4 Express Translator is not responsible for verifying the factual accuracy of the Client’s source materials.
4.5 Express Translator is not liable for indirect or consequential loss resulting from the use of any Deliverables.
4.6 For certified translations, Express Translator retains discretion to reject any requested amendment that affects the accuracy or integrity of the translation.
4.7 Express Translator will send a draft copy of the translation for the Client’s review and approval. Once approved, additional charges may apply for any change requests thereafter.
5. Client’s Obligations
5.1 The Client must:
(a) provide accurate, complete, and legible materials for translation;
(b) respond promptly to queries and supply any supporting information reasonably required;
(c) obtain all necessary permissions to provide materials for translation; and
5.2 If Express Translator’s performance is delayed or prevented by the Client’s act or omission, Express Translator will not be liable for resulting costs or losses.
5.3 The Client must not directly engage or solicit translators or subcontractors engaged by Express Translator for at least three months after completion of any project.
6. Fees and Payment
6.1 Fees are as listed on the Website or as otherwise agreed in writing.
6.2 All prices are in Australian dollars (AUD) and may be subject to GST.
6.3 Payment must be made in full at the time of placing the Order, unless otherwise agreed.
6.4 Orders cancelled after work has commenced are non-refundable.
7. Force Majeure
Express Translator will not be liable for any delay or failure to perform its obligations due to Force Majeure events beyond its control.
8. Limitation of Liability
Express Translator’s total liability to the Client, whether in contract, tort, or otherwise, is limited to the amount paid by the Client for the relevant Services.
9. Governing Law and Dispute Resolution
9.1 These Terms are governed by the laws of the State of Victoria, Australia.
9.2 Any dispute arising under these Terms shall first be addressed through good-faith negotiation.
9.3 If the dispute cannot be resolved, it shall be referred to mediation in Melbourne before either party commences court proceedings.
